01 · Introduction

Acceptance of These Terms

These Terms and Conditions govern your access to the WebProBuilder website and your purchase or use of our website-related services. By using this website, submitting an enquiry, approving a proposal, making a payment or instructing us to begin work, you agree to these Terms together with any project-specific written agreement.

If you act for a company, organisation or other person, you confirm that you have authority to accept these Terms on their behalf.

If a signed proposal, statement of work or service agreement conflicts with these general Terms, the project-specific document will take priority for that project.

02 · Service Scope

Website Services, Proposals and Deliverables

WebProBuilder provides services that may include website planning, UI design, WordPress development, custom website design, WooCommerce development, CMS or LMS integration, website redesign, maintenance, speed optimisation, technical SEO and related digital support.

The exact scope of work will be described in a proposal, quotation, email confirmation, invoice or statement of work. Unless expressly included, a project does not automatically include ongoing maintenance, hosting, domain registration, paid plugins, premium fonts, stock media, copywriting, photography, legal documents, advanced SEO campaigns, advertising or unlimited revisions.

We may recommend a different technical approach when it offers a safer, more maintainable or more commercially practical result. Any material scope change will be discussed before implementation.

03 · Collaboration

Client Responsibilities

To help us deliver the project efficiently, the client agrees to:

  • Provide accurate requirements, branding, content, images, product information and business details.
  • Provide timely access to the website, hosting, domain, CMS, analytics or other systems required for authorised work.
  • Review work and provide consolidated feedback or approvals within a reasonable time.
  • Ensure supplied text, images, trademarks, data and other materials may lawfully be used.
  • Maintain secure copies of essential business data and avoid sharing unnecessary sensitive information.
  • Designate one authorised decision-maker where multiple stakeholders are involved.

The client remains responsible for the accuracy, legality and regulatory compliance of the business content, products, offers, policies and claims published on the final website.

04 · Commercial Terms

Fees, Invoices, Taxes and Payments

Project fees, deposits, payment milestones, due dates and accepted payment methods will be stated in the applicable proposal or invoice. Unless stated otherwise, quoted prices exclude third-party expenses and any applicable taxes, duties or transaction charges.

  • Work may be scheduled only after the required initial payment is received.
  • Milestone payments become due when the related stage is presented, approved or otherwise reaches the agreed payment trigger.
  • Final files, administrator access, migration or project handover may be withheld until all outstanding amounts are paid.
  • Late or disputed payments may pause delivery, support, launch or further work.

Bank, payment gateway, currency conversion and international transaction charges are the client’s responsibility unless expressly agreed otherwise.

05 · Delivery Schedule

Timelines, Milestones and Client Delays

Any delivery date is an estimate based on the known scope, prompt access to required systems and timely client feedback. We will make reasonable efforts to meet agreed milestones, but dates may change where the scope changes, third-party services fail, technical issues arise or client inputs are delayed.

If required content, credentials, decisions, approvals or payments are not provided on time, the project timeline may be extended and the project may be moved to the next available production slot.

Inactive projects: Where a project remains inactive for an extended period because required client input is unavailable, we may pause or close the project after reasonable notice. Restarting may require a revised schedule, updated quotation or reactivation fee.

06 · Change Management

Revisions, Feedback and Additional Work

Included revisions, if any, are limited to the number and stage stated in the project proposal. Revisions are intended to refine the agreed direction, not replace the approved brief or create a substantially different website.

  • Feedback should be clear, consolidated and submitted by the authorised project contact.
  • Requests outside the agreed scope may be quoted separately or billed at the applicable rate.
  • Changes requested after approval, development, launch or handover may require additional time and cost.
  • Work made necessary by changes to third-party platforms, plugins, APIs, browsers or regulations is not automatically included.
07 · External Technology

Hosting, Domains, Plugins and Third-Party Services

Websites commonly depend on third-party products and services such as hosting, domain registrars, themes, plugins, APIs, payment gateways, email platforms, analytics tools, fonts, stock media and SaaS products.

Unless expressly included, third-party fees are payable by the client. The client is responsible for maintaining valid licences, subscriptions and accounts required after handover.

We do not control third-party pricing, uptime, security, policy changes, compatibility, discontinuation or service quality. We are not responsible for loss or disruption caused by a third-party provider, although we may assist with investigation or migration under a separate support arrangement.

08 · Ownership

Intellectual Property and Portfolio Use

The client retains ownership of materials supplied by the client. The client grants WebProBuilder a limited permission to use those materials solely for providing the agreed services.

After full payment, the client receives rights to the final approved custom website work specifically created for the project, excluding:

  • Third-party software, themes, plugins, fonts, stock assets and open-source components.
  • Pre-existing tools, frameworks, reusable code, workflows, methods and know-how owned or licensed by WebProBuilder.
  • Unapproved concepts, drafts, rejected designs and working files not included in the agreed deliverables.

Unless a written confidentiality or white-label agreement says otherwise, WebProBuilder may identify the client and display the completed public project in its portfolio, proposals, case studies and professional marketing.

09 · Website Access

Credentials, Data, Backups and Security

The client may provide temporary access to websites, hosting accounts, CMS platforms or connected services. We will use that access only for authorised project work and will take reasonable measures to protect it.

  • Clients should create temporary or role-limited accounts where possible.
  • Passwords should be changed and unnecessary access revoked after completion.
  • The client should maintain current backups before major development, migration or optimisation work.
  • Unless a maintenance agreement says otherwise, the client is responsible for security monitoring, software updates, backups and recovery after handover.

No internet-connected system can be guaranteed to be completely secure or uninterrupted. We are not responsible for unauthorised access caused by compromised client credentials, outdated third-party software, insecure hosting, malware, user error or events outside our reasonable control.

10 · Results and Expectations

SEO, Performance, Compatibility and Business Results

We apply professional methods and reasonable care, but no specific search ranking, traffic level, sales volume, conversion rate, revenue, advertising result, PageSpeed score or Core Web Vitals result is guaranteed unless expressly stated in writing.

Results can be affected by competition, search-engine changes, hosting quality, network conditions, third-party scripts, website content, plugins, advertising budgets, customer behaviour and changes made after handover.

Browser and device testing will be proportionate to the agreed scope. Minor visual differences may occur across devices, operating systems, browsers and screen sizes.

SEO and performance work improves technical foundations and opportunities; it cannot control search-engine decisions or all real-world user conditions.

11 · Project Closure

Suspension, Cancellation and Refunds

Either party may request cancellation in writing. The client must pay for work completed, approved milestones, committed resources and non-refundable third-party costs incurred up to the cancellation date.

Initial payments, deposits or project reservation fees are generally non-refundable once planning, design, development, scheduling or resource allocation has begun, except where the applicable proposal states otherwise or the law requires a refund.

We may suspend or terminate services for non-payment, abusive conduct, unlawful requests, security risk, repeated failure to provide required inputs or a material breach of these Terms. Where practical, reasonable notice and an opportunity to resolve the issue will be provided.

12 · Post-Delivery

Review Period, Warranties and Ongoing Support

Any included post-launch review or defect-correction period will be stated in the proposal. During that period, we may correct reproducible issues where the delivered work does not materially match the agreed specification.

The review period does not cover:

  • New features, design changes or additional content.
  • Problems caused by client edits, third parties, updates, hosting changes, malware or expired licences.
  • Issues outside the original scope or caused by unsupported environments.

Ongoing updates, monitoring, backups, content changes, troubleshooting and technical support require a separate maintenance or support arrangement unless expressly included.

13 · Risk Allocation

Disclaimers, Limitation of Liability and Indemnity

Services are provided with reasonable professional care and based on the information available at the time. Except where prohibited by law, all implied warranties are excluded to the maximum extent permitted.

WebProBuilder will not be liable for indirect, incidental, special or consequential loss, including loss of profit, revenue, data, reputation, opportunity or business interruption arising from the website, services or third-party systems.

To the maximum extent permitted by law, WebProBuilder’s total aggregate liability relating to a specific project will not exceed the fees actually paid to WebProBuilder for the portion of that project giving rise to the claim.

The client agrees to indemnify WebProBuilder against third-party claims arising from unlawful client content, infringement by client-supplied materials, prohibited products or services, misleading claims, misuse of the delivered website or breach of these Terms.

14 · Legal Framework

Confidentiality, Force Majeure and Governing Law

Confidentiality

Each party should protect non-public business, technical and commercial information received from the other and use it only for the relevant project, except where disclosure is authorised or legally required.

Force majeure

Neither party will be liable for delay or failure caused by events beyond reasonable control, including natural disasters, major internet or hosting outages, cyber incidents, government restrictions, labour disruption, war, civil disturbance, epidemic or failure of essential suppliers.

Governing law and disputes

These Terms are governed by the laws of India. The parties will first attempt to resolve any dispute through good-faith discussion. If a dispute cannot be resolved, it will be subject to the competent courts having jurisdiction in Kolkata, West Bengal, unless a written project agreement provides otherwise.

If any provision is held invalid or unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision immediately does not waive the right to enforce it later.

15 · Updates and Contact

Changes to These Terms and Contact Information

We may update these Terms to reflect changes in our services, technology, business practices or legal requirements. The latest version will be published on this page with a revised effective date. Changes will not retrospectively alter an already signed project agreement unless both parties agree or the law requires it.

Questions about a quotation, project clause or these Terms should be raised before approving the relevant proposal or making payment.
